Seller-side Services - Advisory Services for M&A Transactions

• Analysis of  business and financial condition of the Company, from a potential purchaser’s point of view
• Strategic review and advise on the desirability of effecting a Transaction
• Preparation of marketing materials, such as Teaser and Information Memorandum, including business plan
• Assistance in identifying potential investors and managing investor relations
• Distribution of marketing materials to a selection of potential strategic and/or financial investors in Bosfor’s portfolio
• Negotiation of Confidentiality Agreements, paying utmost attention to the timing of disclosures
• Organisation of management visits, meetings and presentations
• Management of legal, financial and business due diligence processes
• Advise and assistance in negotiating the financial aspects of the Transaction
• Coordination with legal, financial and regulatory specialists to produce key legal documents to effect and close the Transaction
